Read vendor cooperation & customer-protection terms
  1. MORTEN supply model: production is undertaken by the actual manufacturer. MORTEN purchases or sources the agreed ingredients and acts as the direct commercial supplier to buyers; manufacturer identity and applicable product documentation must remain accurate.
  2. Quality qualification and customer audits: the manufacturer will provide accurate facility, certification, specification and traceability records for evaluation. By accepting these terms, it agrees in principle to cooperate with MORTEN-coordinated customer facility audits. Every visit requires prior written approval by the manufacturer, MORTEN and the customer covering scope, timing, authorised visitors, safety and confidentiality. Registration is not an audit certificate or unconditional permission to access a facility.
  3. Food-grade B2B scope: the vendor supplies only food-grade ingredients declared in its registration and provides accurate specifications, quality documents and availability information.
  4. Introduced customers: a protected introduction means a customer and opportunity first identified to the vendor by MORTEN in a dated written communication. Pre-existing relationships disclosed with supporting records are excluded.
  5. No bypass of introduced opportunities: while working together on a MORTEN-introduced opportunity, the vendor will route quotations, orders and commercial discussions through MORTEN and will not use the introduction to bypass MORTEN without its prior written agreement.
  6. Direct approaches: if a MORTEN-introduced customer contacts the vendor directly concerning that opportunity, the vendor will promptly notify MORTEN and coordinate the response with MORTEN.
  7. Confidentiality: both parties will keep non-public customer contacts, quotations, prices, specifications and commercial information confidential and use them only for the agreed opportunity, except disclosures required by law.
  8. Long-term cooperation: both parties intend to build a transparent ongoing business relationship. Commission or trading margin, territory, payment, delivery, returns, quality responsibilities and any protection period must be agreed in writing for each opportunity before transactions begin.
  9. Registration and review: submission records the vendor’s acceptance of these initial cooperation terms. Registration does not certify products, guarantee sales, grant exclusivity or confirm final onboarding. MORTEN will review quality and commercial suitability before approving transactions.
  10. These terms concern MORTEN-introduced opportunities and confidential information; the vendor remains free to conduct unrelated business. Any definitive agreement and enforceability of customer-protection provisions require legal review and both parties’ written acceptance.
